Montana Registered Agent Requirements

A Montana LLC cannot exist without a registered agent on file. The role is written directly into state law, and the Secretary of State enforces it from the day your Articles of Organization are accepted until the day the company dissolves. Here is what the statute actually demands, who qualifies, and how our service fits.

The Statute Behind the Requirement

Montana adopted the Model Registered Agents Act wholesale. It lives at MCA Title 35, chapter 7, §§ 35-7-101 to 35-7-117, with agent appointments handled under § 35-7-105. Because the law follows the uniform act, Montana's terminology matches what most states call the role: a registered agent, no special local label.

The Street Address Rule

Under § 35-7-104, filings that designate an agent must state "an actual street address or rural route box number in this state." A PO box standing alone does not satisfy the statute. In practice the agent also needs to be reachable at that address during regular business hours, since the whole point of the role is receiving service of process the moment it arrives.

Montana's act recognizes two categories:

  • Commercial registered agents, meaning individuals or companies that have listed themselves with the Secretary of State under § 35-7-106 and serve many entities. That is what we are.
  • Noncommercial registered agents, defined at § 35-7-102, covering an individual or an entity that acts as agent without a commercial listing. A member, manager, or the owner of the LLC can fill this role, provided the address on file is a Montana street address where documents can actually be received.

Whichever category you choose, the agent's name and address become part of the public record, searchable by anyone.

Changing Agents Is Free in Montana

The state charges nothing to switch. The filing is the Statement of Change (Registered Office, Agent, Both), submitted online to the Secretary of State's Business Services Division through biz.sosmt.gov; the fee schedule marks it as a no-fee filing, and § 35-7-108 governs the change. There is no numbered paper form, because Montana handles the filing entirely in the portal. You can also update the agent while filing your annual report.
