Montana LLC Annual Report: Due Date, Fee, and How to File
Every Montana LLC files one report a year with the Secretary of State, and in 2026 the on-time filing is free. Below: the deadline, the fee waiver, the exact filing steps, and what the state does when a report never shows up.
When the Montana Annual Report Is Due
The report is due April 15 each year, with the filing window opening January 1. The obligation comes from MCA ยง 35-8-208(3). A newly formed LLC files its first report between January 1 and April 15 of the year after it organizes.
The Montana Annual Report Fee
The standard fee is $20. For on-time filings, the Secretary of State has waived that fee for 2024 through 2027, which makes a 2026 report filed by the deadline $0. Reports submitted after April 15 pay $35 total, the $20 fee plus a $15 late charge.

- Log in at biz.sosmt.gov using an ePass Montana account.
- Pull up your LLC by business name or by its Folder ID number.
- Check the pre-filled record: addresses, registered agent, management type, and principals. Most fields carry over from the state's records, so your job is confirming or correcting them. You can swap your registered agent inside the report at no extra charge.
- Sign electronically and submit. On-time 2026 filings owe nothing, and approval is immediate.
Late Filing and Administrative Dissolution
Miss April 15 and the fee rises to $35. Around September 1, once the report is roughly 140 days overdue, the Secretary of State mails a warning of pending administrative dissolution. If the report still has not arrived, the LLC is administratively dissolved by roughly December 1. A dissolved LLC can seek reinstatement, generally within 5 years, by filing every delinquent report and paying the reinstatement charge of about $35.
